Agreement to these terms

These Terms and Conditions (“Terms”) govern access to and use of the Leadispatch website, applications, software, and related services (collectively, the “Services”). By creating an account, accepting an order, or using the Services, you agree to these Terms on behalf of yourself and, if applicable, the company or organization you represent.

If you use the Services under a separate signed agreement or order form with Leadispatch, that agreement controls to the extent it conflicts with these Terms. If you do not agree, do not use the Services.

Accounts and company administrators

You must provide accurate account information, keep credentials confidential, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account except to the extent caused by Leadispatch. Company administrators control workspace membership, permissions, configuration, and access to Customer Data. You must have authority to create or administer an account for a company.

Permitted use

• Use the Services only for lawful business purposes and in accordance with these Terms and applicable documentation.
• Do not access another company’s data without authorization, interfere with the Services, bypass access controls, introduce malicious code, scrape or overload the Services, or use the Services to violate rights or law.
• Do not reverse engineer or attempt to extract source code except where applicable law expressly permits it.
• Do not resell or provide the Services as a standalone service to third parties unless Leadispatch agrees in writing.

Customer Data

You retain your rights in information submitted to the Services by or for your company (“Customer Data”). You grant Leadispatch the rights necessary to host, process, transmit, display, and otherwise handle Customer Data to provide, support, secure, and improve the Services and to meet legal obligations.

You are responsible for the accuracy, quality, legality, and collection of Customer Data; for providing required notices and obtaining required permissions or consent; and for configuring users, permissions, retention, exports, and integrations appropriately. You must not submit data you are not authorized to use.

Communications features

If you use SMS, WhatsApp-related, email, phone, call recording, voicemail, or other communication features, you are responsible for complying with applicable consent, identification, opt-out, recording, retention, telemarketing, and messaging requirements. Leadispatch may provide controls or templates to support operational use, but these do not replace your legal obligations. Carriers and service providers may block, filter, delay, or reject communications.

Finance, reports, and imports

Leadispatch can record job payments, expenses, technician and admin balances, commissions, splits, transactions, bank imports, and reports. These features are operational tools and do not constitute accounting, tax, payroll, financial, or legal advice. You are responsible for reviewing records, rules, imports, calculations, exports, and reports before relying on them or using them in financial decisions.

Apps, integrations, and beta features

Optional apps and integrations may have additional terms, requirements, costs, or third-party dependencies. Beta, preview, simulation, or coming-soon features may change, be incomplete, or be discontinued. You choose whether to enable these capabilities and are responsible for their configuration and permitted use.

Fees and subscriptions

Applicable fees, billing periods, usage charges, limits, and renewal terms will be described at purchase, in an order form, or in the account. Unless otherwise stated, fees are non-refundable except as required by law. You authorize Leadispatch and its payment providers to charge applicable amounts and taxes. We may suspend paid features for overdue amounts after providing any notice required by the applicable agreement or law.

Intellectual property

Leadispatch and its licensors own the Services, including software, design, documentation, trademarks, and related technology, excluding Customer Data. Subject to these Terms and payment of applicable fees, Leadispatch grants you a limited, non-exclusive, non-transferable right to use the Services during your authorized subscription. If you provide feedback, you permit us to use it without restriction or obligation.

Suspension and termination

You may stop using the Services at any time and may close an account subject to applicable subscription commitments. We may suspend or terminate access when reasonably necessary to address security risk, unlawful use, material breach, nonpayment, harm to the Services or others, or legal requirements. Where practical, we will provide notice and an opportunity to cure. Data access and deletion after termination are subject to the applicable agreement, account settings, legal obligations, and our retention practices.

Service changes and availability

We may update, add, remove, or modify features as the platform evolves. We aim to provide a reliable service, but availability may be affected by maintenance, third-party services, networks, carriers, force majeure events, and factors outside our reasonable control. We do not guarantee that every message, call, integration, import, route, report, or notification will be error-free or uninterrupted.

Disclaimers and liability

To the maximum extent permitted by law, the Services are provided “as is” and “as available,” without warranties not expressly stated in a signed agreement. Leadispatch disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, Leadispatch will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, revenue, data, goodwill, or business opportunity. Leadispatch’s aggregate liability arising from the Services will not exceed the amounts paid or payable for the Services during the twelve months before the event giving rise to the claim, unless applicable law or a signed agreement requires otherwise.

Changes and contact

We may update these Terms as the Services and legal requirements evolve. Material changes will apply prospectively, and we will provide notice when required.
